RightNow Community Access Agreement

The RightNow Communities Access Agreement governs your use of this online RightNow Community and describes the proper and prohibited kinds of conduct on the Community. By registering as a user or by using the RightNow Community, you agree to comply with this Access Agreement as modified from time to time. Please review this Access Agreement before you use or register! Any personal information that you provide to us during registration will be covered by the terms of our Privacy Policy at http://www.rightnow.com/privacy-website.php.

If you have questions during your time in the forum, you can search the site or post your question to the appropriate forum board. Other Community participants, the community manager, or a moderator will assist you.

Articles

1. You must be courteous to other users. The RightNow Community is provided to exchange ideas and experiences about RightNow products. It is not there to discuss personal matters, abuse other users, disparage any person or company, including RightNow Technologies ("RightNow"), or to have a general rave about unrelated topics. Please be polite and stay on topic.
2. You must not use the site to promote your or third party products or services.
3. You must not post any junk mail, spam, chain letters or the like.
4. You must take care when using the site if you decide to rely upon advice of others. Remember that the advice given to you may not be reliable and is not endorsed by us. In addition, RightNow employees, partners, affiliates, and designated moderators may from time to time provides answers or assistance in response to postings. Please note, however, that RightNow encourages its employees, partners, affiliates, and designated moderators to provide accurate and helpful assistance to users, posting by such individuals does not constitute official RightNow responses to questions. Think carefully before giving another RightNow Community user personal details or confidential information - it may be a scam. Giving another user personal details or confidential information is not a requirement for use of the RightNow Community and is the responsibility of the individual giving the information. You may not post any material that would infringe the intellectual property rights of third parties. Those rights include patent, copyright, trademark, and trade secret rights. If you see material on the site that you believe may infringe third party rights, please follow the procedure set out in paragraph 13 below.
5. We are not responsible for the content of any websites that you access through hyperlinks posted to the RightNow Community. These websites are not under our control, and our policies do not apply to them.
6. We do not endorse any material posted to the RightNow Community nor any ideas discussed in the RightNow Communities. We do not generally monitor information posted to the RightNow Communities. However, we reserve the right (directly or through a moderator) to remove or to edit any material from the RightNow Communities that we consider to be inappropriate or that we believe violates this Access Agreement. In addition, we or a moderator may block your continued access to the RightNow Communities if we or the moderator regards your continued contribution to the RightNow Communities to be harmful.
7. You must bear all of the risks associated with your use of the RightNow Communities, including without limitation the risk that you will be provided with erroneous information or poor advice; and the risk that you will infringe upon third party rights. Do not reveal information that you do not want to make public. Any personal or sensitive information that you post can be obtained and used by others.
8. You agree to indemnify us against any breach by you of this Access Agreement.
9. You agree that during your use of the RightNow Communities you may access, and come into possession of proprietary information of RightNow including, without limitation, software systems, specifications, programs and documentation, the methods and data which RightNow owns, plans or develops, whether for its own use or for use by its clients, developments, designs, inventions and improvements, and works of authorship, marketing plans and procedures, all of which are the property of RightNow and will be referred to herein as "Proprietary Information." You agree that you will not disclose any Proprietary Information, directly or indirectly, to any third person or entity, without the prior written consent of RightNow. You further agree that you will not use, handle, copy or duplicate, in part or in whole, any Proprietary Information, except as directed by RightNow and in the ordinary course of business. You may also come into possession of trade secrets and other confidential information of RightNow. You agree to keep RightNow’s confidential information confidential and will not disclose any RightNow confidential information to any third person or entity, without the prior written consent of RightNow. This confidentiality covenant has no temporal, geographic or territorial restriction. You agree that upon request by RightNow, you shall turn over to RightNow all Proprietary Information and confidential information. You understand and agree that all Proprietary Information and confidential information is and shall remain the property of RightNow and that you have not and will not appropriate for your own use or for the use of any third party any Proprietary Information or confidential information. You agree to not remove any proprietary or confidential markings on any materials accessed in the RightNow Community.  If you are or in the future may become a competitor of any product orservice offered by RightNow, you agree that you will not register for or use the RightNow Community.
10. RightNow can use anything posted to the RightNow Communities as if it belongs to us, and all title and interest therein shall vest in RightNow. To the extent that title to any posting may not, by operation of law, vest in RightNow; all rights, title and interest therein are hereby irrevocably assigned to RightNow. All such materials shall belong exclusively to RightNow. You agree to give RightNow and any person designated by RightNow, reasonable assistance, at RightNow's expense, required to perfect the rights defined in this paragraph. Unless otherwise requested by RightNow, you shall immediately turn over to RightNow all materials and deliverables developed.
11. You acknowledge that any breach of the provisions herein would result in irreparable injury and not only monetary damages. Accordingly, you agree that in the event of such a breach, or any threat of such a breach (in addition to the right to pursue other remedies, including, without limitation, damages), RightNow will be entitled to an immediate injunction and restraining order to prevent such a breach by you and any third party acting for or with you.
12. Everything on this site is provided to you "as is" without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability, fitness for purpose, or non-infringement. In no event shall we be liable for any direct, special, indirect or consequential damages of any kind, including lost profits, arising in connection with your access to, or use of a forum. In no event shall our aggregate liability to you arising out of any claim whatsoever relating to use of a forum exceed $10.
13. If you believe that material posted in the RightNow Communities infringes third party copyright, you may notify our designated agent, Mr. Alan Rassaby, Senior Vice President and General Counsel (i) by mail at 136 Enterprise Boulevard, Bozeman Montana 59718; (ii) by phone on 406 522 4200; (iii) by email at arassaby@rightnow.com; or (iv) by facsimile on 406 522 2903. The notice must contain the following information:
    a. A physical or electronic signature of a person authorized to act on behalf of the owner of the right that is allegedly infringed.
    b. Identification of the copyrighted work claimed to be infringed.
    c. A description of where the material that you claim is infringing is located on the site.
    d. Your address, phone number and email address.
    e. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
    f. A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are either the copyright owner, or are authorized to act on behalf of the copyright owner.
